Terms and Conditions FainEra FZE ("FainEra", "we", "us", "our") Platform: FainEra Fee (fee.fainera.com) Last Updated: April 8, 2026 Governing Law: United Arab Emirates 1. Introduction These Terms and Conditions ("Terms") govern your access to and use of the FainEra Fee platform, operated by FainEra FZE, a company registered under the International Free Zone Authority (IFZA) in Dubai, United Arab Emirates. By creating an account, accessing, or using FainEra Fee, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the platform. 2. Definitions "Platform" refers to the FainEra Fee website at fee.fainera.com and any associated applications or services. "User" refers to any individual or entity that creates an account on or accesses the Platform. "Partner" refers to any third party exchange, prop trading firm, trading tool provider, or other service that participates in the FainEra Fee cashback or discount program through an affiliate or referral partnership. "Cashback" or "Rebate" refers to a portion of trading fees or subscription costs returned to the User through the Platform, calculated based on the affiliate commission received by FainEra from the relevant Partner. "UID" refers to the unique user identifier assigned to a User by a Partner platform, which is used to link the User's trading activity to FainEra Fee for the purpose of calculating cashback. 3. About FainEra Fee FainEra Fee is a cashback and discount platform that returns a portion of fees to users through official affiliate and referral partnerships with supported Partners. FainEra Fee is NOT: (a) A cryptocurrency exchange, broker, or trading platform. (b) A custodian of user funds or digital assets. (c) A financial advisor, investment advisor, or portfolio manager. (d) A regulated financial services provider. FainEra Fee does not hold, manage, control, or have access to user funds at any time. All trading, transactions, deposits, and withdrawals occur directly on the respective Partner platforms. FainEra has no involvement in the execution, settlement, or facilitation of any trade or transaction. 4. Eligibility To use FainEra Fee, you must: (a) Be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater). (b) Have the legal capacity to enter into a binding agreement. (c) Not be a resident or citizen of any jurisdiction where the use of this Platform, cryptocurrency trading, or affiliate cashback services is prohibited or restricted by law. (d) Not be listed on any sanctions list maintained by the United Nations, the United States (OFAC), the European Union, or the United Arab Emirates. It is your sole responsibility to determine whether your use of FainEra Fee complies with the laws and regulations of your jurisdiction. FainEra makes no representations regarding the legality of the Platform in any jurisdiction outside the United Arab Emirates. 5. Account Registration 5.1 To access the cashback features, you must create an account by providing accurate and complete information, including but not limited to your name, email address, and Partner platform UID(s). 5.2 You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activities that occur under your account. 5.3 You agree to notify FainEra immediately of any unauthorized access to or use of your account. 5.4 FainEra reserves the right to suspend or terminate any account at its sole discretion if it reasonably believes the account is being used in violation of these Terms, for fraudulent purposes, or in a manner that may expose FainEra to legal or regulatory risk. 5.5 Each User may maintain only one account. Creating multiple accounts to exploit cashback, referral, or promotional programs is strictly prohibited and may result in the forfeiture of all accrued cashback and permanent account termination. 6. How FainEra Fee Works 6.1 FainEra Fee operates through official affiliate and referral partnerships with supported Partners. When a User connects their Partner account to FainEra Fee by submitting their UID, FainEra receives a portion of the trading fees or subscription costs generated by the User on the Partner platform. 6.2 FainEra then returns a percentage of this affiliate commission to the User as cashback. The cashback rate varies by Partner and may be up to 45% of the trading fees paid by the User. 6.3 Cashback rates, calculations, and payment schedules are determined by FainEra and are subject to change at any time. FainEra will make reasonable efforts to notify Users of material changes to cashback rates. 6.4 Cashback calculations are based on data provided by Partner platforms. FainEra relies on the accuracy of this data and is not responsible for discrepancies arising from incorrect or delayed data from Partners. 6.5 FainEra reserves the right to adjust, withhold, or revoke cashback in cases of suspected fraud, manipulation, wash trading, or any activity that violates these Terms or the terms of the relevant Partner platform. 7. Partner Platforms 7.1 FainEra Fee provides links to and information about third party Partner platforms. FainEra does not control, endorse, or assume responsibility for the content, policies, practices, or operations of any Partner platform. 7.2 Your relationship with any Partner platform is governed by that Partner's own terms of service, privacy policy, and applicable regulations. FainEra is not a party to and has no liability under any agreement between you and a Partner platform. 7.3 FainEra does not guarantee the continued availability, reliability, security, or solvency of any Partner platform. The inclusion of a Partner on FainEra Fee does not constitute an endorsement or recommendation of that Partner. 7.4 If a Partner platform ceases operations, changes its affiliate program terms, or otherwise becomes unavailable, FainEra shall have no liability for any resulting loss of cashback or other damages. 8. Referral Program 8.1 FainEra Fee may offer a referral program that allows Users to earn additional commissions by referring new users to the Platform. 8.2 Referral commissions are calculated as a percentage of the cashback earned by the referred User. The referred User's cashback is never reduced as a result of the referral. 8.3 Self referrals, fake referrals, and any form of referral manipulation are prohibited and may result in the forfeiture of all referral commissions and account termination. 8.4 FainEra reserves the right to modify or discontinue the referral program at any time. 9. Intellectual Property 9.1 All content, trademarks, logos, designs, text, graphics, software, and other materials on the Platform are the property of FainEra FZE or its licensors and are protected by applicable intellectual property laws. 9.2 You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any Platform content without the prior written consent of FainEra. 9.3 Partner logos and trademarks displayed on the Platform are the property of their respective owners and are used solely for identification purposes. 10. Prohibited Activities You agree not to: (a) Use the Platform for any unlawful purpose or in violation of any applicable law or regulation. (b) Provide false, misleading, or inaccurate information during registration or at any time thereafter. (c) Create multiple accounts or use another person's account without authorization. (d) Engage in wash trading, market manipulation, or any activity designed to artificially inflate trading volumes for the purpose of generating cashback. (e) Use bots, scripts, or automated tools to interact with the Platform without prior written authorization from FainEra. (f) Attempt to gain unauthorized access to the Platform, its servers, or any systems connected to the Platform. (g) Interfere with or disrupt the Platform or the servers or networks connected to the Platform. (h) Reverse engineer, decompile, or disassemble any part of the Platform. (i) Use the Platform in any way that could damage, disable, overburden, or impair its functionality. 11. Disclaimer of Warranties 11.1 The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. 11.2 FainEra does not warrant that the Platform will be uninterrupted, error free, secure, or free from viruses or other harmful components. 11.3 FainEra does not warrant the accuracy, completeness, or reliability of any information, data, or content provided on or through the Platform, including but not limited to cashback calculations, Partner information, fee structures, or trading data. 11.4 FainEra does not provide investment advice, trading recommendations, or any form of financial guidance. Any information presented on the Platform is for informational purposes only and should not be construed as financial advice. 12. Limitation of Liability 12.1 To the maximum extent permitted by applicable law, FainEra, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or goodwill, arising from or related to your use of the Platform. 12.2 FainEra's total aggregate liability for any claims arising from or related to these Terms or the Platform shall not exceed the total amount of cashback paid to you by FainEra in the twelve (12) months preceding the claim. 12.3 FainEra shall not be liable for any losses arising from: (a) Your trading activity on any Partner platform. (b) The failure, insolvency, or misconduct of any Partner platform. (c) Changes to cashback rates, affiliate program terms, or Partner availability. (d) Unauthorized access to your account resulting from your failure to maintain the security of your credentials. (e) Technical failures, delays, or errors in data provided by Partner platforms. (f) Force majeure events including but not limited to natural disasters, war, government actions, network failures, or cyberattacks. 13. Indemnification You agree to indemnify, defend, and hold harmless FainEra, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (a) Your use of the Platform. (b) Your violation of these Terms. (c) Your violation of any applicable law or regulation. (d) Your violation of any third party rights. 14. Modification of Terms 14.1 FainEra reserves the right to modify these Terms at any time. Changes will be effective upon posting on the Platform with an updated "Last Updated" date. 14.2 Your continued use of the Platform after any modification constitutes your acceptance of the modified Terms. 14.3 If you do not agree with the modified Terms, your sole remedy is to discontinue your use of the Platform. 15. Termination 15.1 You may terminate your account at any time by contacting FainEra through the Platform. 15.2 FainEra may suspend or terminate your account at any time, with or without cause, and with or without notice. 15.3 Upon termination, your right to access and use the Platform will immediately cease. Any accrued but unpaid cashback may be forfeited at FainEra's discretion if the termination is due to a violation of these Terms. 15.4 Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 9, 11, 12, 13, 16, and 17. 16. Governing Law and Dispute Resolution 16.1 These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of laws principles. 16.2 Any dispute arising from or related to these Terms or the Platform shall be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to the competent courts of Dubai, United Arab Emirates. 16.3 You agree that any claim or cause of action arising from or related to the Platform must be filed within one (1) year after the claim arose. Failure to file within this period shall result in the permanent barring of the claim. 17. General Provisions 17.1 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 17.2 Entire Agreement. These Terms, together with the Privacy Policy, User Agreement, and Risk Statement, constitute the entire agreement between you and FainEra regarding the Platform. 17.3 Waiver. The failure of FainEra to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. 17.4 Assignment. FainEra may assign its rights and obligations under these Terms without your consent. You may not assign your rights or obligations under these Terms without the prior written consent of FainEra. 17.5 Language. These Terms are drafted in the English language. In the event of any translation, the English version shall prevail. 18.
